Terms of Service

Please read these Terms of Service carefully before using our website, products, or services.

1. Acceptance of Terms

By accessing or using the website, applications, products, or services of Tech-UA Ltd. ("Company", "we", "us", or "our"), located at tech-ua.com and any related subdomains, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not access or use our services. These Terms constitute a legally binding agreement between you and Tech-UA Ltd., a company incorporated and operating under the laws of the State of Israel, with its principal office located in Beer Sheva, Israel.

2. Eligibility

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use our services. By using our services, you represent and warrant that you meet this eligibility requirement. If you are using our services on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

3. Description of Services

Tech-UA provides a comprehensive suite of technology solutions including: (a) Smart Vending Machines — fully automated retail solutions with multi-payment support, real-time inventory management, and IoT connectivity; (b) EnterCom Platform — a smart complex management platform providing access control and security management, parking lot management with automatic license plate recognition (ALPR), smart home and IoT device integration, analytics and reporting, and third-party platform integration; (c) Payment Solutions — integrated payment processing for vending and self-service operations; (d) Custom Software Development — mobile apps, desktop applications, websites, cloud solutions, and IoT systems; (e) BuildTech — professional report generation for construction engineers. Our subsidiary brands include LaundryTech, CandyTech, EnterCom, and BuildTech. The specific terms of any product or service agreement, including pricing, delivery, warranties, and support, will be set forth in a separate written agreement between the parties.

4. Intellectual Property Rights

All content, features, functionality, software, designs, text, graphics, logos, trademarks, service marks, trade names, and other intellectual property displayed on or through our website and services are the exclusive property of Tech-UA Ltd. and/or its licensors, and are protected by Israeli copyright law (Copyright Act, 2007), U.S. copyright law (Title 17, United States Code), international copyright treaties, trademark laws, and other intellectual property rights. No part of our services may be reproduced, distributed, modified, transmitted, reused, downloaded, reposted, or used for any commercial purpose without our prior written consent. The Tech-UA name, logo, Tech World app, EnterCom, LaundryTech, CandyTech, BuildTech, and all related names, logos, product and service names, designs, and slogans are trademarks of Tech-UA Ltd. You must not use such marks without our prior written permission.

5. User Accounts and Obligations

Certain features of our services may require registration. You agree to: (a) provide accurate, current, and complete information during registration; (b) maintain and update your information to keep it accurate, current, and complete; (c) maintain the security and confidentiality of your login credentials; (d) immediately notify us of any unauthorized use of your account; (e) accept responsibility for all activities that occur under your account. We reserve the right to suspend or terminate your account if any information provided is inaccurate, not current, or incomplete, or if we reasonably suspect unauthorized use. For the EnterCom platform specifically, end users are NOT direct customers of Tech-UA. End users are customers of the Facility Owner (building management company, homeowner association, or property manager). Tech-UA provides technology services exclusively to Facility Owners on a B2B basis. End user registration occurs when a Facility Owner adds the user's phone number to the EnterCom system. The Facility Owner determines all access permissions and may revoke access at any time. Tech-UA has no direct contractual obligations to end users of the EnterCom platform.

6. Acceptable Use Policy

You agree not to use our services to: (a) violate any applicable local, state, national, or international law or regulation, including Israeli law and U.S. law; (b) infringe upon or violate the intellectual property rights or privacy rights of any third party; (c) transmit any malicious code, viruses, or destructive content; (d) attempt to gain unauthorized access to our systems, servers, or networks; (e) interfere with or disrupt the integrity or performance of our services; (f) engage in any activity that could damage, disable, overburden, or impair our servers or networks; (g) collect or harvest any personally identifiable information from our services without authorization; (h) use our services for any fraudulent, deceptive, or misleading purpose; (i) reverse engineer, decompile, or disassemble any portion of our software or services.

7. Products and Equipment

All vending machines, hardware, and equipment supplied by Tech-UA remain the exclusive property of Tech-UA unless explicitly transferred through a written purchase agreement. Installation, maintenance, and servicing of equipment shall be performed exclusively by Tech-UA or its authorized representatives unless otherwise agreed in writing. You are responsible for providing suitable premises, adequate power supply, and a safe environment for the equipment. Any damage to equipment resulting from misuse, negligence, unauthorized modification, or environmental conditions beyond the equipment's specifications shall be your responsibility.

8. Payment Terms

All fees and charges for our products and services are as set forth in the applicable order form, quote, or service agreement. Unless otherwise specified: (a) all prices are quoted in the currency specified in the agreement and are exclusive of applicable taxes; (b) payment is due within 30 days of the invoice date, or as otherwise specified in the agreement; (c) late payments shall bear interest at the maximum rate permitted by applicable law, including under the Israeli Late Payment of Debts (Interest and Linkage Differentials) Law, 5738-1998; (d) we reserve the right to suspend services for overdue accounts after providing 14 days written notice.

9. Warranty and Disclaimers

Our products and services are provided with warranties as specified in the applicable product or service agreement. EXCEPT AS EXPRESSLY SET FORTH IN A WRITTEN AGREEMENT, OUR SERVICES AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that our services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. To the fullest extent permitted by applicable law, including the Israeli Consumer Protection Law, 5741-1981, and the U.S. Uniform Commercial Code, we disclaim all warranties not expressly stated herein. Technology-based security and access control solutions, including the EnterCom platform, may experience failures, malfunctions, or interruptions despite reasonable efforts to maintain reliability. End users assume all risk associated with relying on Tech-UA services for security or access control. Tech-UA strongly recommends that Facility Owners maintain traditional security measures (physical keys, manual access points, security personnel) alongside EnterCom as supplementary protection. Tech-UA makes no warranty regarding the continuous, uninterrupted, or error-free operation of any security or access control features.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TECH-UA LTD., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OR INABILITY TO USE OUR SERVICES; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; (C) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM OUR SERVICES; (D) ANY BUGS, VIRUSES, OR SIMILAR ISSUES TRANSMITTED THROUGH OUR SERVICES BY ANY THIRD PARTY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS ACTUALLY PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR ANY LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW. Tech-UA shall have no liability whatsoever to end users of the EnterCom platform, as Tech-UA's contractual relationship is solely with Facility Owners. Without limiting the foregoing, Tech-UA shall not be liable for: (a) failure of security or access control systems; (b) unauthorized access to or theft from any premises; (c) data breaches or privacy violations; (d) personal injury or property damage arising from system malfunction; (e) loss of access to premises due to system failure; (f) deactivation of credentials (NFC, facial recognition, license plates) upon termination; (g) business interruption or service disruption; (h) any damages resulting from actions taken by Facility Owners regarding user access.

11. Indemnification

You agree to indemnify, defend, and hold harmless Tech-UA Ltd. and its officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from: (a) your violation of these Terms; (b) your use of our services; (c) your violation of any rights of a third party; (d) any content or data you submit, post, or transmit through our services. This indemnification obligation shall survive termination of these Terms and your use of our services.

12. Privacy and Data Protection

Tech-UA collects and processes different categories of data depending on the service: For EnterCom: Required data includes phone numbers for authentication, device information (model, OS, app version), usage and activity data, and unique identifiers. Optional data collected with consent includes full name and email, profile images, biometric data (facial recognition), vehicle information (license plates), and location data. For Vending Machines: Transaction and payment data, purchase history, and machine usage analytics. Data is retained as follows: active account data while the account remains active; activity logs for 3 years for security audit purposes; biometric data deleted within 30 days upon request; legal retention up to 7 years as required by Israeli law. Tech-UA does not sell personal data. Data may be shared when required by law, with Facility Owners/building management for security purposes, or with service providers under strict data processing agreements. 13. Third-Party Services and Links

Our services may contain links to third-party websites, services, or content that are not owned or controlled by Tech-UA. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Tech-UA shall not be responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with the use of or reliance on any such third-party content, goods, or services.

14. Service Availability and Modifications

We reserve the right to modify, suspend, or discontinue any part of our services at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of our services. We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before the changes take effect. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.

15. Termination

Tech-UA may terminate or suspend access immediately, without prior notice or liability, for any reason, including: (a) Non-payment by Facility Owner; (b) Violation of these Terms; (c) Unauthorized, fraudulent, or illegal use; (d) Security breach caused by user; (e) Sharing of access credentials; (f) Harassment or abusive behavior; (g) At Tech-UA's sole discretion for business or strategic reasons. For EnterCom: When a Facility Owner terminates their subscription, ALL associated end user accounts are automatically terminated. End users have no independent right to maintain access after Facility Owner termination. Upon termination: all access is immediately revoked and disabled; all credentials (NFC, facial recognition, license plates) are deactivated; all temporary access links are invalidated; mobile app and widget access is disabled. Users may request account deletion via Settings or by emailing office@tech-ua.com, processed within 30 days. Certain data may be retained as required by law (security logs, audit trails, transaction records) for up to 7 years per Israeli law.

16. Force Majeure

Neither party shall be liable for any failure or delay in performing obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, strikes, or failures of telecommunications or power supply.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. Any disputes arising from or in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts located in Beer Sheva, Israel. Notwithstanding the foregoing, Tech-UA reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction. For users located in the United States, these Terms are also subject to applicable federal and state laws. Nothing in these Terms shall deprive any consumer of the mandatory protections afforded under the laws of their country of residence.

18. Dispute Resolution

Prior to initiating any formal legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiations for a period of at least 30 days. If the dispute cannot be resolved through negotiation, either party may pursue resolution through the courts as specified in the Governing Law section. For consumers in jurisdictions that require alternative dispute resolution, we will participate in any mandatory mediation or arbitration proceedings as required by applicable law.

19. Severability

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent permitted by law, and the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and any separate written agreements for specific products or services, constitute the entire agreement between you and Tech-UA regarding the use of our services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral. No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

21. EnterCom Platform — B2B Service Model

The EnterCom platform operates exclusively as a business-to-business (B2B) technology service. Tech-UA's sole customers for EnterCom are Facility Owners, including but not limited to building management companies, homeowner associations, property management firms, and commercial property operators. End users of the EnterCom application (residents, tenants, visitors, and employees) are customers of the Facility Owner, not of Tech-UA. Tech-UA owes no duties, warranties, representations, or obligations of any kind to end users. All liability for the provision of access control, security, parking management, and related services to end users rests solely with the Facility Owner. The Facility Owner is responsible for: (a) determining which users have access and at what level; (b) ensuring accurate user registration and data; (c) communicating service changes to their end users; (d) maintaining alternative access methods; (e) compliance with applicable laws regarding their residents and tenants.

22. Service Suspension

Tech-UA may suspend access to any service, in whole or in part, at any time and for any reason, including but not limited to: (a) pending investigation of suspected violations; (b) during payment disputes with Facility Owners; (c) for maintenance, updates, or technical reasons; (d) at the request of a Facility Owner; (e) to comply with legal or regulatory requirements; (f) at Tech-UA's sole discretion. Suspension has the same immediate effects as termination but may be temporary. Tech-UA has no obligation to provide advance notice of suspension and no obligation to reinstate suspended accounts. Reinstatement, if granted, is at Tech-UA's sole discretion and may be subject to additional conditions, fees, or restrictions.

23. Israeli Law Compliance

These Terms are governed by and construed in accordance with the laws of the State of Israel, including: Privacy Protection Law 5741-1981; Protection of Privacy Regulations (Data Security) 5777-2017; Consumer Protection Law 5741-1981; Contracts Law (General Part) 5733-1973; Electronic Signature Law 5761-2001; and Electronic Communications Law 5768-2008. Users under 18 years of age must obtain parental or legal guardian consent before using any Tech-UA service. Users aged 18 and above confirm they have full legal capacity to enter into these Terms. Any complaints may be directed to the Israeli Privacy Protection Authority or the Israeli Consumer Protection Authority.
